Terms of Service
These terms set the operating boundaries for AcuSpend's current pilot procurement workspace. They are deliberately specific about what the service does and does not do.

1. Scope and acceptance
These Terms govern access to AcuSpend's procurement workspace and related pilot services. By creating an account, joining a workspace, or using the service, you agree to these Terms on behalf of yourself and, where applicable, the organisation you are authorised to represent. Do not use the service if you cannot agree to them or lack authority to bind that organisation.
2. Accounts and workspaces
You must provide accurate account information, protect your credentials, and promptly report suspected unauthorised access. Workspace owners and administrators are responsible for inviting members, assigning access, and removing access that is no longer appropriate. You must not share accounts, bypass permissions, probe another organisation's data, or interfere with the service's security controls.
3. Your content and authority
You remain responsible for the procurement requests, supplier details, quotation information, documents, messages, and other material you add to AcuSpend. You represent that you have the rights and permissions needed to provide that material and to instruct AcuSpend to process it for the workspace. You grant AcuSpend the limited right to host, process, transmit, and display that material only as needed to provide, secure, support, and improve the service.
4. Procurement support, not a decision-maker
AcuSpend organises sourcing work, supplier information, RFQ drafting, quote comparison, and recommendation materials. It does not enter into contracts, make purchases, act as a buyer's or supplier's agent, guarantee supplier performance, or automatically select a supplier. Users remain solely responsible for verifying information, approving communications, making procurement decisions, and complying with their own policies and applicable law.
5. Optional integrations and assisted features
Some environments may enable controlled email delivery, document processing, AI-assisted review, or source-grounded supplier research. Such features are configuration-dependent, are not enabled merely because this page exists, and must remain subject to the applicable in-product review and approval controls. You must not submit unlawful, confidential, or personal information to an optional feature unless you have a lawful basis and the necessary permissions to do so.
6. Acceptable use
You may use AcuSpend only for lawful business procurement activities. You must not upload malware or infringing material; use the service to discriminate unlawfully, harass, misrepresent a person or supplier, or violate export, sanctions, anti-bribery, competition, privacy, or other applicable laws; or attempt to reverse engineer, disrupt, or gain unauthorised access to the service.
7. Availability, changes, and pilot status
The service is evolving and may be changed, limited, paused, or discontinued where reasonably necessary for security, maintenance, legal compliance, or product development. AcuSpend will use reasonable efforts to communicate material operational changes to affected pilot users, but does not promise uninterrupted or error-free availability. You should maintain copies of information you need independently of the service.
8. Suspension and termination
AcuSpend may suspend or restrict access where reasonably necessary to protect users, data, the service, or legal compliance, including for suspected breach of these Terms. You may stop using the service at any time. Account closure, export, deletion, retention, fees, warranties, liability limits, governing law, and dispute resolution must be completed in a written pilot agreement or the production version of these Terms before general availability.
9. Changes to these Terms and contact
AcuSpend may update these Terms as the service matures. Material changes should be communicated before they take effect where required by law or agreement. The production version must identify the contracting legal entity and a reliable legal contact channel. Until that information is published, pilot users should use their agreed AcuSpend contact channel for questions about these Terms.
